These Terms & Conditions (the “Terms”) govern your access to and use of the services, products, applications, websites, and interfaces owned or operated by Tributive Foundation (“Foundation”), collectively referred to as “Tributive”, “we”, “us” or “our”. By accessing or using the Tributive services (the “Services”), you agree to these Terms and to any referenced policies herein (Privacy Policy, Security Policy), which are incorporated by reference.
If you do not agree to the Terms, do not access or use the Services.

1. DEFINITIONS
“Donor” means a user who makes a charitable contribution through the Services.
“Charity” or “Recipient Organization” means an IRS-recognized public charity (typically 501(c)(3)) eligible to receive distributions from the Tributive Foundation.
“Donation” means funds contributed by a Donor through the Services to be received by the Foundation.
“Tribute” means a Donation as defined previously and used in the Tributive application.
“Administrative Fee” means the fee described in Section 5 paid by the Foundation to a third party service provider for administrative costs (current default: twelve percent (12%) of each of Net Donation Receipts as such fee may be changed in accordance with these Terms) processed through the Tributive platform.
“Net Donation Receipts” are defined as the total gross donation amounts received into the Foundation’s Stripe merchant account, less Payment Processor fees and disbursement transaction fees incurred for ACH or related electronic transfers.
“Payment Processor” refers to third-party payment services (e.g., Stripe) used to process donations to the Tributive Foundation (501(c)(3)).
“Plaid” refers to financial connectivity services used to access transaction data when a Donor authorizes such access.
“Recipient Organizations” include only charities listed on the IRS Tax Exempt Organization Search (TEOS) database. Tributive provides suggestions based on categories of interest, charities chosen and location of donor. The user retains the right to donate to any charity listed based on the currently active 350,000 charities. The included charities have been selected based on their size, largest selected within each category, determined by “income amount” as listed on the IRS website: https://www.irs.gov/charities-non-profits/exempt-organizations-business-master-file-extract-eo-bmf.

2. WHO YOU ARE / ELIGIBILITY
2.1 Eligibility. You must be at least eighteen (18) years old and capable of forming a binding contract under applicable law to use the Services. If you are under 18, you may not use the Services unless expressly authorized by the Foundation in writing. This age restriction helps avoid legal issues with minors’ contractual capacity and privacy rules including COPPA.
2.2 Account Information. You agree to provide accurate, current, and complete information when registering or using the Services. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.
2.3 Authority to Charge Payment Method. By providing a payment method (card or bank account) or by connecting an account via Plaid, you represent and warrant that you are authorized to use that payment method and to authorize Tributive to process donations via Stripe. You authorize Tributive (or its payment processor) to process donations via Stripe to your selected payment method for Donations and any permitted fees.

3. NATURE OF THE RELATIONSHIP BETWEEN THE FOUNDATION AND THE LLC
3.1 Separate Entities. Tributive Foundation is a 501(c)(3) nonprofit with EIN: 39-2349938 that receives Donations, issues tax receipts to Donors, and disburses funds to Recipient Organizations. We work with a for-profit technology company and the provider of the Services. The entities are separate legal parties. The Foundation retains full control over donated funds and custody of Donations. The Foundation compensates the third party services under a written Services Agreement. Payment processing is conducted externally through Stripe.
3.2 Transparency. The Services and any fees are disclosed to Donors at the point of donation and in your account settings. The nature of the relationship is summarized in the Services Agreement between the Foundation and the third party service provider.

4. DONATIONS, PROCESSING, RECEIPTS, AND DISBURSEMENTS
4.1 Donations to the Foundation. Donations are contributions to the Tributive Foundation. All Donations are subject to the Section 4.4 Disbursement Practices and eligibility checks. Donations are generally irrevocable once accepted by the Foundation, except as provided in Sections 6. Donations will be processed via Stripe at the instance by Donor initiated donations or when $50 (i.e. when 40 Plaid transactions are allocated) has accrued. A total of $1.25 will accrue for each instance of credit card use until 40 transactions occur, as monitored via Plaid, at which time we will process donations to the Tributive Foundation (501(c)(3)) for disbursement across user selected Charities.
4.2 Payment Processing. Payment processing is performed by third-party providers (e.g., Stripe). When a Donation is made, the payment processor Stripe may deduct transaction fees (card network fees, processor fees) before funds are remitted to the Foundation. The Foundation’s accounting records will reflect gross Donations and associated fees.
4.3 Tax Receipts. Tributive Foundation will issue IRS-compliant donation acknowledgements/ receipts to Donors for Donations made to the Foundation, showing date and amount of the Donation and any goods or services provided. Donor tax treatment is the responsibility of each Donor; Donors should consult personal tax advisors.
4.4 Disbursement Practices. The Foundation disburses Donations to eligible Recipient Organizations subject to verification of Recipient Organization status (e.g., EIN match, IRS public-exempt status). Disbursement frequency and minimum thresholds are anticipated to be monthly or quarterly depending on donation volume and may be adjusted by the Foundation in its discretion. If a Recipient Organization has lost exemption, the donation will be reallocated to charities of the Donor choice as specified in their allocation at the time of original donation. If Donor does not have other charities chosen, Tributive will allocate to a similar charity category to the original donation or, at its sole discretion, reach out to Donor who may get the opportunity to choose another charity.
4.5 Allocation Instructions. When you provide allocation instructions (e.g., percentage splits among multiple charities), the Foundation will make reasonable efforts to follow those preferences, subject to the Foundation’s authority and policies regarding distribution, timing, and compliance. Allocation instructions are treated as advisory; the Foundation retains final authority over distributions to ensure compliance with tax laws and charitable purpose.

5. ADMINISTRATIVE FEE & OTHER CHARGES
5.1 Administrative Fee. The Foundation pays third party services for an Administrative Fee for technology, processing, hosting, compliance, and administrative services. The current fee is twelve percent (12%) of each Net Donation Receipts, but the Foundation may change the fee upon notice to Donors and in accordance with the Services Agreement and Board approvals.
5.2 Allocation Disclosure. At the time of Donation, Donors will receive a tax receipt. Recipient Organizations will receive the sum of the donation less expenses as defined herein. Each organization is checked against the TEOS database and if exemption status has been revoked the app will cease to list that charity. Verification will also occur as part of scheduled disbursement runs monthly.
5.3 Third-Party Fees. Donors acknowledge that Payment Processor fees, bank fees (ACH origination), and other third-party fees may apply and may reduce net amounts available for distribution. These fees are separate from the Administrative Fee.

6. REFUNDS, REVERSALS & CHARGEBACKS
6.1 Refund Eligibility. Donations are generally final and non-refundable once processed and accepted by the Foundation and, where applicable, disbursed to Recipient Organizations. The Foundation may, in its sole discretion, refund Donations in the following limited circumstances:
Duplicate charges or processing errors verified by Foundation and payment processor;
Fraudulent or unauthorized transactions (subject to investigation and verification); or
Other exceptional circumstances approved by the Foundation.
6.2 Refund Process. To request a refund, contact support at info@tributive.com. The Foundation will investigate and respond within a reasonable time. If a Donation has already been disbursed to the Recipient Organization, the Foundation may, at its discretion, request that the Recipient Organization return unspent funds; however, right to obtain such return is not guaranteed.
6.3 Chargebacks. If a Donor initiates a chargeback with their card issuer, the Foundation may be required to reverse the Donation. Chargebacks may be subject to processor chargeback fees and administrative expenses. The Foundation may seek to recover funds from the Donor or from the LLC where appropriate and permitted by law.
6.4 Refund of Administrative Fee. Where a Donation is refunded in accordance with these Terms, the Administrative Fee associated with that Donation will be refunded to the Foundation (or otherwise adjusted) consistent with contractual provisions in the Services Agreement between the Foundation and the LLC.

7. RIGHTS & RESPONSIBILITIES — DONORS, FOUNDATION, AND LLC
7.1 Donor Representations & Warranties. By making a Donation you represent and warrant that:
You are authorized to use the payment method or bank account provided;
All information you provide is true and accurate; and
You will comply with these Terms, applicable law, and the Donations to the Foundation and Section 4.4 Disbursement Practices specified herein.
7.2 Foundation Responsibilities. The Foundation is responsible for receiving Donations, issuing receipts, recording allocations, verifying Recipient Organization eligibility, and disbursing funds in accordance with its Disbursement Practices and applicable law.
7.3 Third Party Service Provider Responsibilities. Third party service providers are responsible for operating and maintaining the app and technology, integrating with payment processors and Plaid (where authorized by Donors), providing customer support and administrative services, and maintaining security practices and privacy practices consistent with the Security Policy and Privacy Policy.
7.4 Limitation of Liability: In no event shall Tributive be liable to Donor or any third party for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of money, data, or business opportunities, arising out of or related to this agreement and services, even if advised of the possibility of such damages.
Donor agrees not to hold Tributive liable for any damages or losses resulting from the use of Services, except in cases of gross negligence or willful misconduct.

8. KYC, AML, SANCTIONS, AND FRAUD PREVENTION
8.1 KYC/AML. To the extent necessary to comply with anti-money laundering, counter-terrorist financing, sanctions laws, or Payment Processor requirements, Tributive may collect additional identity information (including government ID) from Donors and perform screening checks against sanctions and watch lists. Failure to provide required information may result in suspension or termination of your access and retention of restricted funds.
8.2 Fraud & Abuse. Tributive reserves the right to suspend, freeze, or refund any Donation and to refuse service where there is suspected fraud, money laundering, illicit activity, or violation of these Terms. Tributive will cooperate with law enforcement as required.
8.3 Sanctions & Export Controls. Tributive will not accept Donations that would violate applicable sanctions or export control laws. Donors confirm they are not located in, a national/subsidiary of, or otherwise subject to sanctions prohibitions of restricted jurisdictions.

9. USER CONDUCT & PROHIBITED USE
You agree not to:
Use the Services for any unlawful purpose or in violation of these Terms;
Attempt unauthorized access to accounts, systems, or networks;
Interfere with or disrupt the Services or servers;
Submit false or fraudulent information;
Use the Services to solicit funds for non-eligible purposes;
Bypass fees or reverse-engineer the Services; or
Assist or facilitate any of the above.

10. INTELLECTUAL PROPERTY
10.1 Ownership. Tributive or their third party service providers and/or its licensors own all rights, title, and interest in the Services and all software, code, content, trademarks, logos, and documentation provided by such parties, except for content provided by Donors or third parties.
10.2 Limited License. Subject to your compliance with these Terms, Tributive grants you a limited, revocable, non-exclusive, non-transferable license to use the Services for personal, non-commercial use to make Donations and monitor your account.
10.3 User Content. You retain ownership of content you submit (e.g., profile info). By submitting content, you grant Tributive a worldwide, royalty-free license to use, reproduce, display, and distribute the content in connection with the Services (including display on your donor dashboard and in receipts), subject to the Privacy Policy.

11. THIRD-PARTY SERVICES
11.1 Third-Party Providers. The Services rely on third-party payment processors (e.g., Stripe), data providers (Plaid), and other vendors. Your use of these third-party services is subject to their terms and privacy practices. Tributive is not responsible for third-party actions or failures.
11.2 Links and References. The Services may include links to third-party sites. Tributive does not endorse or assume responsibility for the content or policies of such sites.

12. SECURITY & PRIVACY
12.1 Security Practices. Tributive employs commercially reasonable administrative, technical, and physical safeguards to protect data, as described in the Security Policy.
12.2 Privacy. Our collection and use of personal information are governed by thePrivacy Policy, which you should review carefully. By using the Services you consent to such collection and use.
